1. AGREEMENT TO OUR LEGAL TERMS
Welcome to PrismRoute™! By accessing and using our services, including our website, mobile applications, and customer support, you agree to be bound by these Terms and Conditions (the "Terms"), as well as our Privacy Policy, which is incorporated into these Terms by reference. Please read these Terms carefully. If you do not agree with any part of these Terms, you must not use our services.
These Terms constitute a legally binding agreement between you and PrismRoute™, a company incorporated in Washington, United States, with its principal office located at Prismroute™ Management Office: 610 Market Street ste 104 Kirkland WA 98033 USA. References to “PrismRoute™,” “we,” “us,” or “our” refer to the Company, while “you” or “user” refers to any individual or entity accessing our services.
PrismRoute™ reserves the right to amend these Terms at any time. We will notify you of any substantial changes by posting updates on our website and, if necessary, by sending an email notification to the address associated with your account. Your continued use of our services after such changes signifies your acceptance of the updated Terms.
2. OUR SERVICES
PrismRoute™ provides a range of services, including but not limited to:

The specific features, functionalities, and limitations of each service are described on our website and may vary based on the plan you select. These services are provided “AS IS” and “AS AVAILABLE,” with no guarantees of continuous operation, given that they may be affected by periodic maintenance, technical issues, or external factors beyond our control.
3. FAIR USAGE TERM AND CONDITIONS
To ensure high-quality service and fair access for all users, PrismRoute™ implements a Fair Usage Policy that limits excessive usage patterns that could impair network performance. Fair usage limits for different account types are as follows:

Residential Accounts: Limited to 3,000 to 4,000 minutes per month for incoming and outgoing calls, including extension-to-extension communication.

Commercial Accounts: Limited to 6,000 minutes per month per line, covering both incoming and outgoing calls but excluding extension-to-extension.
Additional charges may apply if your usage exceeds the Fair Usage Policy thresholds:

First Allowance Overage: An additional 500 minutes per month, provided once per year, with no extra charge.

Subsequent Overage: An automatic charge of $30 for each additional 2,000 minutes over the threshold, billed directly to your credit card on file.
4. USER REPRESENTATIONS
By using our services, you represent and warrant that:

(1) All registration information provided by you is accurate, complete, and current.

(2) You will update your account information as necessary to maintain accuracy.

(3) You have the legal capacity to agree to these Terms and use our services.

(4) You are at least 18 years of age or have reached the age of majority in your jurisdiction.

(5) You will not use our services for illegal or unauthorized purposes, and your use will not violate any applicable law.
If any information provided by you is found to be inaccurate, outdated, or incomplete, we reserve the right to suspend or terminate your account and restrict your access to our services.
5. USER REGISTRATION AND ACCOUNT SECURITY
To access certain features of our services, you may be required to register an account. You are responsible for maintaining the confidentiality of your account credentials, including your password. Any actions taken through your account are your responsibility, whether conducted by you or by an unauthorized person. Notify us immediately at info@prismroute.com or legal@prismroute.com if you suspect any unauthorized access to your account.
We reserve the right to suspend, reclaim, or modify any username that we determine, at our sole discretion, to be inappropriate, offensive, or otherwise objectionable.
6. PURCHASES AND PAYMENT

Payment Obligations: By selecting a paid service or product through PrismRoute™, you agree to pay all applicable fees as outlined in the pricing plan you choose at the time of purchase. You are responsible for providing valid and current billing information, and you authorize PrismRoute™ to automatically charge the specified payment method for recurring charges unless you cancel the subscription as described in these Terms.

Billing Cycle: Your billing cycle and payment frequency will be based on the terms specified in the subscription plan selected. Charges may be billed on a monthly, quarterly, or annual basis, depending on your chosen subscription. Any changes to your payment method must be updated in your account settings to ensure uninterrupted access to our services.

Taxes: You are responsible for paying any applicable sales, use, or other taxes associated with your subscription to our services, based on the jurisdiction in which you reside or use our services. PrismRoute™ may calculate and add applicable taxes to the total charges billed, as required by law.

Refunds: Payments are non-refundable. PrismRoute™ does not offer refunds or credits for any partially used services, unless explicitly stated in a separate written agreement. If you believe there was an error in billing, please contact our customer support team within 30 days of the billing date to address your concerns.
7. SUBSCRIPTIONS

Automatic Renewal: Unless canceled, your subscription will automatically renew at the end of each billing period. You consent to PrismRoute™ charging your payment method for each renewal period without additional authorization from you. The renewal rate will be equal to the current subscription rate at the time of renewal unless you are otherwise notified of a rate change.

Free Trial: We may offer a limited free trial period to new users. The duration of the free trial and specific terms will be outlined at the time of registration. At the end of the free trial, you will be automatically enrolled in the subscription plan you selected, and your payment method will be charged accordingly unless you cancel before the trial ends.

Cancellation: You may cancel your subscription at any time by contacting our support team or following the instructions in your account settings. Cancellation will be effective at the end of the current billing cycle, and you will retain access to the service until that time. No partial refunds will be issued for cancellations within an active billing cycle.

Fee Changes: PrismRoute™ reserves the right to modify subscription fees at any time. We will provide notice of fee changes via email or within your account settings, at least 30 days before they take effect. Continued use of our services after fee changes go into effect constitutes your acceptance of the new rates.
8. PROHIBITED ACTIVITIES
You may not use PrismRoute™’s services for any purpose other than those for which we make them available. As a user of our services, you agree not to:

Abuse, Harass, or Defraud: Use our services to harm, harass, threaten, or defraud any individual or group, or engage in any illegal or fraudulent activities.

Access Without Authorization: Attempt to gain unauthorized access to any part of our services, accounts, computer systems, or networks connected to our services through hacking, password mining, or any other unauthorized means.

Transmit Malware or Harmful Code: Distribute or upload any files that contain viruses, worms, Trojan horses, ransomware, or other harmful or disruptive code.

Interfere with Service Integrity: Circumvent, disable, or otherwise interfere with security-related features of our services, including features that prevent or restrict copying of content or limit the use of our services or the content accessible via the services.

Resell or Redistribute Services: Reproduce, duplicate, copy, sell, resell, or exploit any portion of our services without our express written permission.

Data Harvesting and Mining: Engage in unauthorized data mining, scraping, or extraction practices to collect personal information or other data from our users or services.

Upload or Distribute Inappropriate Content: Share, post, or distribute content that is unlawful, offensive, defamatory, abusive, obscene, sexually explicit, or otherwise objectionable.

Use Automated Scripts: Employ automated systems, scripts, or other tools to send multiple messages, engage in data gathering, or otherwise interact with our services in a manner that disrupts or overloads our systems.

Impersonate Others: Attempt to impersonate another user, person, or entity, or use a username or account owned by another person without proper authorization.

Compete with PrismRoute™: Use our services to develop a competing service or for any commercial purposes that are not expressly authorized by us.
Violation of any prohibited activities may result in the suspension or termination of your account, at PrismRoute™’s sole discretion, and may subject you to civil or criminal liability.
9. USER GENERATED CONTRIBUTIONS
PrismRoute™ may provide interactive features that allow users to submit or post content, including reviews, comments, feedback, suggestions, or other contributions ("User Contributions"). By submitting any User Contributions, you agree to the following:

Ownership and License: You retain ownership of any intellectual property rights in your User Contributions, but you grant PrismRoute™ a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publicly display, distribute, and otherwise exploit your User Contributions in any manner.

Public Display: Any content you submit may be publicly displayed on our services, so please avoid sharing sensitive or confidential information.

Responsibility for Contributions: You are solely responsible for the content you contribute and agree that your User Contributions will not contain any prohibited material as described in these Terms, including defamatory, harassing, or obscene content.

10. GUIDELINES FOR REVIEWS
PrismRoute™ may provide areas within the services for users to leave reviews or ratings. When posting a review, you must comply with the following guidelines:

As part of our services, we may allow you to link your PrismRoute™ account with third-party social media accounts (each, a "Third-Party Account") or share content across platforms. By doing so, you acknowledge and agree to the following:

Permissions: By linking your PrismRoute™ account with a Third-Party Account, you authorize us to access and use certain information from that Third-Party Account, as permitted by the privacy settings of the respective platform.

In accordance with the Digital Millennium Copyright Act (DMCA), it is our policy to respond to notices of alleged copyright infringement and, where appropriate, suspend or terminate the accounts of repeat infringers.

By using our services, you agree that any dispute, controversy, or claim arising out of or relating to these Terms or your use of the services will be resolved exclusively in the state or federal courts located in King County, Washington. You waive any objections to this jurisdiction or venue, including any objections based on forum non conveniens.
19. DISPUTE RESOLUTION
In the interest of resolving disputes quickly and economically, you and PrismRoute™ agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the services (each, a "Dispute") through binding arbitration or, under limited conditions, in small claims court, as outlined below:

Binding Arbitration: For any Dispute not resolved through informal negotiation, either you or PrismRoute™ may initiate binding arbitration through a neutral arbitrator from the American Arbitration Association (AAA). The arbitration will be conducted in English in accordance with the AAA’s Consumer Arbitration Rules, and both parties agree to bear their own arbitration costs unless otherwise provided by law.

Exceptions to Arbitration: Either party may bring a Dispute to small claims court if the Dispute qualifies, or seek injunctive or other equitable relief for claims related to intellectual property infringement or unauthorized use of the services.

Arbitration Location: The arbitration will be held in King County, Washington, or, if you prefer, may be conducted telephonically or via other remote electronic means.

Waiver of Class Actions: To the fullest extent permitted by law, both you and PrismRoute™ agree to resolve disputes in an individual capacity only and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. You expressly waive your right to participate in class actions, class arbitrations, or other representative actions.

Opt-Out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by notifying PrismRoute™ in writing at info@prismroute.com or legal@prismroute.com. Your written notification must include your name, address, and a clear statement that you wish to opt out of arbitration.
By agreeing to these Terms, you acknowledge that you understand the implications of this arbitration clause, including the waiver of your right to participate in a class action.
20. LIMITATIONS OF LIABILITY
To the fullest extent permitted by law, PrismRoute™ and its affiliates, officers, directors, employees, agents, licensors, or service providers are not liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, goodwill, or other intangible losses arising out of or in connection with:

(a) Your access to or use of, or inability to access or use, the services;

(b) Any conduct or content of any third party on the services;
-
(c) Any content obtained from the services; and
-
(d) Unauthorized access, use, or alteration of your transmissions or content, even if we have been advised of the possibility of such damages.
In no event shall PrismRoute™’s total liability to you for all claims arising from or related to the use of our services exceed the greater of one hundred dollars ($100) or the amount you paid to PrismRoute™ in the twelve (12) months preceding the event giving rise to the liability.
Some jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages. Therefore, these limitations may not apply to you, and you may have additional rights based on your jurisdiction.
21. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless PrismRoute™ and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

(a) Your use of and access to our services, including any data or content transmitted or received by you;

(b) Your violation of these Terms or any applicable law, regulation, or third-party right, including intellectual property rights, privacy rights, or publicity rights;

(c) Your violation of any user-generated content rules, including any Prohibited Activities or other misconduct through the use of our services;

(d) Your violation of any applicable laws, rules, or regulations, including, without limitation, data protection laws and other laws governing the storage and use of personal data; and

(e) Any misrepresentation or breach of your representations and warranties made herein.
PrismRoute™ reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claims. You may not settle any claim covered by this indemnification provision without PrismRoute™’s prior written consent.
22. DISCLAIMER
To the fullest extent permitted by law, PrismRoute™ provides the services on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. We expressly disclaim any and all warranties, including, but not limited to:

Implied Warranties: Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Service Accuracy and Reliability: PrismRoute™ does not warrant that the services will be uninterrupted, error-free, secure, or that any defects will be corrected. We do not guarantee the accuracy, completeness, or reliability of any content or information available through the services.

Third-Party Content: We make no warranties regarding third-party content, information, products, or services obtained through our services or any links provided by our services.

No Responsibility for Damages: You assume full responsibility and risk for any damage to your computer system, device, or loss of data resulting from the use of our services.
Some jurisdictions may not allow the exclusion of certain warranties, so the above exclusions may not apply to you in part or in whole.
23. CORRECTIONS
PrismRoute™ reserves the right to correct any errors, inaccuracies, or omissions in our services and content. We may make changes, updates, or improvements to our services at any time, with or without notice. However, we do not assume any obligation to keep our services updated or to ensure that all information within our services is accurate, complete, or up-to-date.
